CORPORATE LEGAL SPECIALIST
Job Purpose:
As a Coporate Legal Specialist with COFICAB you will be responsible for developing and promoting corporate legal standards and practices.Drafting, reviewing and solidifying agreements, contracts and other legal documents to mitigate legal risks on the Group's entities.You will be also responsible for Conducting legal analysis & research and providing timely and accurate legal advice.Acting as an active member of the central legal team and providing support to the Group's entities.
Your key challenges are to:
Own the contracting process and contract life cycle: Review all contracts (mainly sales and purchasing contracts and related contractual documents) at corporate level to mitigate risks and to ensure that company's interest is safeguarded and/or validate outside counsel's reviews for local contracts. Collects feedbacks from all stakeholders during the contract review process. Centralizes, reflects and harmonize the feedbacks received from the different stakeholders. Issues contracts final versions and validates them and make sure the authority matrix and the contracting flows are respected. Collects signatures.
Implement and update contracts and agreements templates according to the company's contracting best practices and standard positions.
Negotiate contracts directly with customers and suppliers and participates to friendly negociation in case of conflicts. Oversee the services provided by our outside counsels and makes sure they provide good quality services in a timely manner.
Draft and review various legal documents including briefs and pleadings.
Provide collaborative, consultative leadership in advising, training and educating management and business stakeholders to the legal function and to the legal and compliance culture.
Provide general advise on compliance of company's corporate policies and procedures with general legal requirements.
Monitor trends and best practices in contractual, regulatory compliance and litigation. Assure that major laws and regulations updates are timely communicated to concerned parties. Provide clarification on legal language or specifications to internal clients.
Hand over legal documents to the legal department's records retention and archiving team.
Educational Requirements:
Master's degree in law-related field
